Mintycode’s Terms of Use

These Terms of use ("Agreement") govern the use of the mintycode.io site ("Marketplace") where "Buyers" can request custom support or request a feature from open source developers ("Developers"). By accessing our site or using the Marketplace, you agree to comply with these Terms of use. Please read this Agreement carefully before using the Marketplace.

General Terms

Who we are and how to contact us

Mintycode.io is a site operated by Mintycode Ltd. ("We"). We are registered in England and Wales under company number 14554724. To contact us, please emailcontact@mintycode.io.

By using our site you accept these terms

By using our site, you confirm that you accept these terms of use and that you agree to comply with them.

If you do not agree to these terms, you must not use our site.

We may make changes to these terms

We amend these terms from time to time. Every time you wish to use our site, please check these terms to ensure you understand the terms that apply at that time. 

No legal or financial advice

The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date.

We are not responsible for websites we link to

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

User-generated content is not approved by us

This website may include information and materials uploaded by other users of the site, including to social media pages and other sites. This information and these materials have not been verified or approved by us. 

Marketplace 

Account

The Marketplace facilitates communication between Buyers and Developers for custom support or feature requests related to open source projects.

Buyers must have a registered account on the Marketplace to make requests.
Developers are not obligated to fulfil every request, and they reserve the right to accept or decline any request at their discretion.

Payment for completed work will be processed using Stripe (https://stripe.com/), a third-party payment processor.

Requests

Buyer may submit custom support requests or feature requests through the Marketplace's designated channels.
Requests should be clear, specific, and must not violate any laws or infringe upon intellectual property rights.

Fees and Payments

Buyers agree to pay the agreed-upon fee for the custom support or feature request, which will be determined before the work begins.

Payment for completed work will be processed through Stripe. Buyers and Developer may be required to provide valid payment information.

The Marketplace will deduct a 5% transaction fee from the total payment. This fee does not include other fees that can be charged by payment provider. For more details see Stripe Fee

Developer Obligations

Developers who agree to take on a custom support request or feature development should make a good-faith effort to fulfil the request within a reasonable timeframe.
Developers must adhere to the applicable open-source licences of the project they are working on while fulfilling custom support or feature development requests.

Intellectual Property

Buyers retain all intellectual property rights to their custom support requests or feature ideas.
If a Developer fulfils a custom support request or feature development, they retain the intellectual property rights to the code they create or modify during the process, subject to the applicable open-source licence unless otherwise explicitly agreed with Buyers and Developer.

Indemnification and Liability

Buyers agree to indemnify and hold harmless the Marketplace, its operators, and Developers from any claims, damages, or liabilities arising out of their custom support requests, feature ideas and payment

Buyer and Developer must pay us an amount (calculated on a full indemnity after-tax basis) equivalent to any liabilities, fines, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and any tax liabilities or third party charges such as brokers’ fees) and all interest, penalties and legal costs and all other reasonable professional costs and expenses (liabilities) we incur arising out of or in connection with any third party claim. 

No Guarantees

The Marketplace does not guarantee that all requests will be fulfilled or that the Developers' solutions will meet the Buyer's expectations.

No Refunds on Direct Contracts

All payments for subscriptions are non-refundable after the payment period has ended. Since the subscription is a direct contract between the Developer and Buyer, all refunds are ultimately at the discretion of the Developer. Mintycode will not issue refunds for any reason, including dissatisfaction with the quality of the Developer's work, or the Developer's failure to deliver on promised services.

Dispute Resolution

If you are unhappy with the services provided by a Developer, you must first contact Mintycode's support team at contact@mintycode.io. We will review the issue and attempt to facilitate a resolution between you and the Developer. However, please be aware that Mintycode acts only as a mediator and cannot compel a Developer to issue a refund or complete work.

No Responsibility for Quality of Services

Mintycode has no responsibility for the quality, timeliness, or delivery of any services provided by a Developer. We do not vet, endorse, or guarantee the work of any Developer on our platform. The Buyer assumes all risk and responsibility when entering into a subscription contract with a Developer.

Chargebacks and Payment Disputes

You agree not to initiate a chargeback or payment dispute with your credit card company or payment provider without first attempting to resolve the issue with Mintycode's support team.

By initiating a subscription payment, you represent and warrant that you are the authorized user of the payment method provided. Payments are processed by Stripe, and Mintycode does not have access to your full payment details. The services are often rendered immediately or continuously throughout the subscription period.

To protect both our platform and our users from fraud, you must report any claims of unauthorized use, including stolen cards, to Mintycode in writing at contact@mintycode.io within five (5) business days of the transaction date. Even if a claim is reported within this five-day period, all payments are non-refundable after the period for which the services were provided has passed, as the services are considered to have been fully rendered and consumed. Failure to report such issues within this timeframe may also result in Mintycode being unable to assist in the dispute and will be considered a waiver of your right to a refund.

If a chargeback is initiated against a payment, Mintycode will consider this a serious breach of our Terms of Use. We reserve the right to:

  • Immediately suspend the accounts of both the Developer and Buyer involved in the dispute.
  • Irreversibly ban any user from our platform who we determine has initiated a fraudulent or malicious chargeback.
  • Charge an administrative fee to cover our costs related to handling the dispute, including but not limited to, fees charged by Stripe, legal costs, and our internal administrative costs.
  • Deduct the chargeback amount from the Developer's future earnings or balance on the platform.
  • Cooperate fully with law enforcement and payment processors in investigating any suspected fraudulent activity.

Termination

The Marketplace reserves the right to suspend or terminate any Buyer’s or Developer’s access to the service at any time, for any reason, without prior notice.

Modification of Terms

The Marketplace may modify these Terms of use at its sole discretion. Buyers will be notified of any significant changes, and continued use of the Marketplace constitutes acceptance of the modified Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England.

Each Party irrevocably agrees that the courts of England shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.
